Incorporation and compliance
Choosing between a private limited company, an LLP, a partnership or a sole proprietorship depends on ownership, liability and future funding. We advise on that choice, prepare the incorporation documents and assist with filings made to the Registrar of Companies, including annual returns and changes in directors or share capital.
Shareholder and founder agreements
Shareholders' agreements, founder arrangements, share subscription and transfer documents record who controls the company, how shares may be sold and what happens on exit. We draft and review these documents so that they agree with the articles of association. See the page on legal documents.
Mergers, acquisitions and restructuring
Schemes of arrangement, mergers, share purchases and business transfers involve company law, tax and, in some cases, approval of the National Company Law Tribunal. We advise on the structure, prepare the transaction documents and assist with the legal due diligence.
Insolvency
Under the Insolvency and Bankruptcy Code, 2016, a financial or operational creditor may apply to the National Company Law Tribunal, and a debtor may respond to such an application. We advise creditors, promoters and resolution applicants on the process and appear in these proceedings.
Commercial contracts and disputes
Supply, services, distribution and agency contracts, and disputes arising from them, are common in business work. Where a contract contains an arbitration clause, the matter is handled under the Arbitration and Conciliation Act, 1996. See the page on arbitration and the page on litigation.
Cross-border business matters
Foreign investment in Indian companies and Indian investment abroad are regulated by the Foreign Exchange Management Act, 1999 and the rules made under it. We advise on the structure of such transactions and on the reporting that follows them. Related questions on data and technology are covered on the page on technology laws.
